Tata Chemicals - Outcome of AGM
Tata Chemicals Ltd has informed BSE that the members at the 68th Annual General Meeting (AGM) of the Company held on July 27, 2007, inter alia, have accorded the following:
1. Adoption of the Audited Profit and Loss Account for the year ended March 31, 2007 and the Balance Sheet as at that date, together with Reports of the Board of Directors and the Auditors thereon.
2. Declaration of dividend at the rate of Rs 8.00 (Rupees Eight only) per share on the Ordinary (Equity) Shares of the Company for the year ended March 31, 2007.
3. Re-appointment of Mr. R Gopalakrishnan, Dr. T Mukherjee & Dr. Vijay L Kelkar as Directors of the Company.
4. Dr. D V Kapur, a Director liable to retire by rotation, who does not seek re-election, is not re-appointed a Director of the Company.
Further, the vacancy, so created on the Board of Directors of the Company, be not filled.
5. Re-appointment of Messrs. S S Billimoria and Company and Messrs. N M Raiji and Company, Chartered Accountants, as Auditors of the Company to hold office from the conclusion of this Meeting upto the conclusion of the next Annual General Meeting of the Company, for the financial year 2007-08, on remuneration, terms & conditions.
6. Appointment of Mr. Nasser Munjee, Dr. Yoginder K Alagh & Mr. Prasad R Menon as Directors of the Company.
7. Appointment of Mr. Homi R Khusrokhan as Managing Director of the Company with effect from October 16, 2006 for a period upto December 14, 2008, on remuneration, terms & conditions.
8. The Register of Members, Index of Members, Register and Index of Debenture holders, Returns of Allotment made from time to time and copies of all the Annual Returns prepared under Section 159 of the Act, along with other certificates and documents required to be annexed thereto under Section 161 of the Act and other applicable provisions, be kept at the offices of TSR Darashaw Ltd., Registrars and Share Transfer Agents of the Company at Mahalaxmi, Mumbai and / or Vikhroli (West), Mumbai.
